Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and northcell ("northcell", "we", "us", or "our") and govern your access to and use of northcell.co (the "Site") and your purchase and use of our products. By accessing the Site or buying a product, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Site or purchase our products. Questions? Email hello@northcell.co.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to purchase from us. By purchasing, you represent that you meet these requirements and that the information you provide is accurate.
2. What we sell
northcell sells original, digital spreadsheet templates ("Products") for Google Sheets and Microsoft Excel, delivered as downloadable files and a Google Sheets "make a copy" link. All Products are digital; nothing is physically shipped.
3. License and restrictions
Subject to your payment and these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Product you purchased for your own personal use or the internal use of a single household or single business.
You may not, and may not permit others to: (a) resell, rent, lease, sublicense, distribute, share, or give away the Product or any part of it; (b) repackage, republish, or make the Product (or a derivative of it) available as a template, product, or download to others; (c) claim the Product or its design as your own work; (d) remove or alter any branding, notices, or attribution except as needed for your own personal use; (e) use the Product or Site for any unlawful purpose; or (f) use automated means to scrape, copy, or harvest the Site or Products. All rights not expressly granted are reserved.
4. Intellectual property
The Products, the Site, and all related content, designs, formulas, layouts, text, graphics, logos, and the "northcell" name and marks are owned by northcell and are protected by intellectual-property laws. Your license does not transfer any ownership to you.
5. Delivery and access
Products are delivered instantly after a successful purchase, through an order-confirmation screen and an email receipt that include your download files and your make-a-copy link. You are responsible for providing a valid email address and for downloading and saving your files. We are not responsible for delivery failures caused by an incorrect email address, an over-restrictive email filter, or a Google account that blocks outside files.
6. Payments, pricing, and taxes
Purchases made on northcell.co are processed by Lemon Squeezy, which acts as the Merchant of Record for your order. By purchasing, you also agree to Lemon Squeezy's terms and authorize them to charge your selected payment method. Prices are shown in U.S. dollars and may change at any time, but changes do not affect orders already placed. Any applicable sales tax or VAT is calculated and remitted by the Merchant of Record.
7. Refunds
Because Products are digital and delivered immediately, please review our Refund Policy, which forms part of these Terms. We stand behind our work and will help if something is genuinely wrong.
8. How our Products are made
Our Products are original works created using AI-assisted design tools. Every formula is human-reviewed and tested before it ships. While we take great care, you are responsible for verifying that a Product fits your situation before relying on it.
9. No professional advice; assumption of risk
Our Products and any content on the Site are provided for general informational, organizational, and planning purposes only. They are not financial, investment, tax, accounting, or legal advice, and do not create any professional or fiduciary relationship. Outputs depend entirely on the figures and assumptions you enter, and example numbers are illustrative only. You are solely responsible for your own financial decisions and outcomes, and you should consult a qualified professional before making decisions that affect your finances. You assume all risk arising from your use of the Products.
10. Disclaimer of warranties
THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCTS WILL BE ERROR-FREE, THAT THE SITE WILL BE UNINTERRUPTED, OR THAT USING A PRODUCT WILL PRODUCE ANY PARTICULAR FINANCIAL OR OTHER RESULT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NORTHCELL AND ITS OWNER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, SAVINGS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR A PRODUCT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT. THESE LIMITS APPLY REGARDLESS OF THE LEGAL THEORY AND ARE A FUNDAMENTAL BASIS OF OUR BARGAIN.
12. Indemnification
You agree to indemnify, defend, and hold harmless northcell and its owner from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Site or Products, your violation of these Terms, or your violation of any law or third-party right.
13. Third-party services
The Products are used within third-party platforms (including Google Sheets and Microsoft Excel) and purchases are processed by third parties (including Lemon Squeezy). Those services are governed by their own terms and privacy policies, and we are not responsible for them.
14. Termination
We may suspend or terminate your license and access if you breach these Terms. On termination, you must stop using and delete the affected Product. Sections that by their nature should survive termination (including Sections 3, 4, 9, 10, 11, 12, and 15) will survive.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Commonwealth of Virginia and applicable U.S. federal law, without regard to conflict-of-laws principles. Before filing any claim, you agree to first contact us at hello@northcell.co and attempt in good faith to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in the Commonwealth of Virginia, and you consent to their jurisdiction and venue.
TO THE EXTENT PERMITTED BY LAW, YOU AND NORTHCELL EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Any claim must be filed within one (1) year after it arises, or it is permanently barred.
16. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the current version, and your continued use of the Site or Products after a change means you accept the updated Terms.
17. General
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and northcell regarding the Site and Products. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a sale or transfer of the business. You consent to receive communications from us electronically.
